TORONTO, Sept. 09, 2022 (GLOBE NEWSWIRE) — IBI Group Inc. (“IBI” or the “Company”), a globally integrated design and technology firm, is pleased to announce that Institutional Shareholder Services (“ISS”) and Glass Lewis & Co., LLC (“Glass Lewis”) have recommended that IBI’s shareholders vote
FOR
the special resolution (the “Arrangement Resolution”) to approve the proposed acquisition (the “Acquisition”) by affiliates of Arcadis N.V. of all of the common shares of the Company and Class B Units of IBI Group for cash consideration of C$19.50 per common share or Class B Unit (the “Consideration”), as the case may be.
The Consideration to be received by the holders of common shares of the Company and Class B Units of IBI Group under the Acquisition represents an approximate 30% premium to the closing price of IBI’s common shares on the Toronto Stock Exchange on July 15, 2022, being the trading day prior to the announcement.
The Arrangement Resolution will be voted on by the holders of common shares and non-participating voting shares of the Company, voting as a single class, at the upcoming special meeting of shareholders of IBI scheduled to be held on September 16, 2022 (the “Meeting”).
