TORONTO, Sept. 15, 2023 /CNW/ – Newtopia Inc. (“Newtopia” or the “Company“) (TSXV: NEWU) (OTCQB: NEWUF), a tech-enabled whole health platform creating sustainable habits that prevent, slow, and reverse chronic disease, today announced that, further to its news release of September 11, 2023, it has extended the maturity date of the subordinated and postponed 8.0% secured non-convertible debentures, which were issued on September 15, 2021 by way of non-brokered private placement (collectively, the “Debentures“) on the terms previously announced.
Of the $2.545 million aggregate principal amount of the Debentures, $1.735 million has been extended by one year and such Debentures will now mature on September 15, 2024. A further $780,000 of aggregate principal amount of the Debentures have been extended by one month until October 15, 2023 which allows the Company additional time to complete the proposed non-brokered offering (the “Offering“) of subordinated and postponed 12% secured non-convertible debenture units (the “Units“) pursuant to which Newtopia proposes to raise funds to repay the Debentures that agreed to the one month extension plus any associated transaction expenses.
The Company confirms it has received conditional approval of the TSX Venture Exchange (the “TSXV“) and the consent of the Company’s Schedule I bank secured lender for the extensions of the Debentures and the Offering.
